By accessing or using Medikal services, you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our Services.
Description of Services
Medikal provides a platform for creating custom AI assistants trained on user-provided data, with integration capabilities for messaging platforms including WhatsApp. Our Services allow you to train, deploy, and manage AI assistants that can interact with your customers through various communication channels.
User Responsibilities
You are responsible for:- All content you provide to train your AI assistant
- Ensuring you have proper rights to use such content
- Compliance with applicable laws and platform policies
- Managing end-user relationships and obtaining necessary consents
- Not selling or promoting any illegal products or services under US regulations or those of your end clients' countries
- Ensuring all commercial activities comply with both US laws and the laws of the jurisdictions where your end users are located
Data Processing and Storage
You acknowledge and agree that:- We process and store all messages and multimedia content sent to and from your AI assistant
- This processing is necessary for the functionality of our Services
- We retain data in accordance with our Privacy Policy
- You have obtained all necessary permissions from your end users for us to process their data
WhatsApp Integration
For WhatsApp integration:- Official Business API integration is subject to Meta's terms and policies
- QR code-based connection is not an official Meta service and is subject solely to our terms
- The QR code connection may be unstable and should be used with this understanding
- You must comply with all WhatsApp policies, including Meta's commerce policies
- We reserve the right to suspend service if your usage violates any platform policies
Intellectual Property
You retain rights to your content, but grant us necessary licenses to provide the Services. We retain all rights to our technology and platform. Specifically:- You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing the Services
- We own all rights, title, and interest in and to the Services, including all intellectual property rights
- Nothing in these Terms transfers ownership of our intellectual property to you
Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability arising out of or related to these Terms shall not exceed the amount paid by you for the Services during the six (6) months preceding the claim.
Term and Termination
We reserve the right to suspend or terminate your access to the Services for violation of these Terms, including but not limited to:- Using the Services for illegal activities
- Violating platform policies (including Meta's policies for WhatsApp)
- Failure to pay applicable fees
- Providing false information
Upon termination, your right to use the Services will immediately cease.
Changes to Terms
We may modify these Terms at any time, with changes effective upon posting to our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located within the State of Delaware.
